Our Services

SERVICE AGREEMENT

These Terms provide general guidelines for using our Services but don’t constitute a service agreement. If you engage Berger HR Solutions for professional services, we’ll provide a separate service agreement outlining the specific terms, including scope, deliverables, timeline, and payment terms.  If there is any conflict between the terms of that service agreement and these Terms, the terms of the executed service agreement will control.

SERVICE DISCLAIMER

We’re committed to excellence in our Services. Nevertheless, the success of our engagement in human resources services and strategies depends on numerous factors, including market conditions and client participation. As a result, we can’t guarantee specific results from our Services. 

While we strive to provide accurate information, our website content is for general informational purposes only and shouldn’t be considered as professional or legal advice.

IN STATES THAT DON’T ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Indemnification

You agree to indemnify and hold harmless Berger HR Solutions, its directors, officers, directors, employees, and agents from any claims, liabilities, damages, losses, liabilities, costs, and expenses (including but not limited to reasonable legal fees) arising from your use of (a) our website, (b) our services provided on the website, or (c) any violation of these Terms. Force Majeure

Berger HR Solutions shall not be liable for any nonperformance or delay in performance caused by any act beyond our reasonable control.

Jurisdiction, Governing Law, and Dispute Resolution

Access to or use of our Services shall not be construed as the purposeful availment by Berger HR Solutions of the privilege or benefits of doing business in any state or legal jurisdiction other than the State of Maryland.

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles.

If a dispute arises, we encourage you to contact us first so we can try to resolve it amicably. If informal resolution isn’t possible, any legal action must be brought exclusively in the courts located in Baltimore, Maryland.

Waiver of Jury Trial

EACH OF THE PARTIES HERETO HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN CONNECTION WITH ANY DISPUTE, ACTION, PROCEEDING OR LITIGATION ARISING OUT OF, IN CONNECTION WITH OR RELATED TO, THESE TERMS OR YOUR USE OF OUR SERVICES.  EACH PARTY CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED OR OTHERWISE INDICATED THAT SUCH PARTY WOULD NOT SEEK TO ENFORCE THIS WAIVER OF RIGHT OF A JURY TRIAL IN THE EVENT OF ANY DISPUTE, ACTION, PROCEEDING OR LITIGATION.  EACH OF THE PARTIES AGREES THAT THIS WAIVER IS A MATERIAL INDUCEMENT FOR ENTERING INTO THESE TERMS.

Waiver of Class Action

By using the Services, you agree to resolve any claim or dispute arising between you and Berger HR Solutions on an individual basis, rather than addressing such claim or dispute as part of a group or class. You hereby waive any right you may have to commence or participate in any class action lawsuit commenced against Berger HR Solutions related to any claim, dispute or controversy arising from your use of the Services. Where applicable, you hereby agree to opt out of any class proceeding against Berger HR Solutions otherwise commenced. The above waiver shall not apply to claims or disputes arising under consumer protection legislation or any other claim or dispute where a waiver of class action lawsuits is unenforceable at law.

Waiver & Severability

No waiver by Berger HR Solutions of any breach or default under these Terms shall be deemed to be a waiver of any preceding or subsequent breach or default.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full effect.

Entire Agreement

These Terms, together with our Privacy Policy and any service agreements, constitute the entire agreement between you and Berger HR Solutions regarding your use of our Services.
